1. NON-EXCLUSIVE LICENSE

All beats are sold under a non-exclusive license, meaning DJ Terrence Miquel retains full ownership of the beats and reserves the right to license them to other parties. Purchasing a beat grants you limited rights to use it under the terms outlined in this agreement.

2. NON-TRANSFERABLE LICENSE

The license granted for the beats is strictly non-transferable. This means the rights and permissions granted to the purchaser cannot be assigned, transferred, or sublicensed to any other person, entity, or organization. Any attempt to transfer or assign the license will constitute a violation of these terms and may result in immediate revocation of the license without refund.

3. LICENSE SCOPE

The non-exclusive license grants the purchaser limited rights to use the beat for personal or commercial purposes, depending on the type of license purchased:

  • Songwriter License:
    • Includes 0 streams or unit sales.
    • For personal use only. Content cannot be posted, distributed, or monetized in any way.
  • Recording Artist License:
    • Includes 0 unit sales.
    • Allows sharing music on non-monetized streaming platforms (e.g., SoundCloud, YouTube without monetization) for personal branding and exposure.
    • Does not allow use on monetized streaming platforms (e.g., Spotify, YouTube with monetization) or through digital distribution.
  • Professional Musician License:
    • Includes unlimited streams and unit sales.
    • Grants full commercial rights, including use on monetized streaming platforms (e.g., Spotify, YouTube with monetization), digital distribution (e.g., iTunes, Amazon Music), selling, and performing.
    • YouTube Monetization: Professional Musicians who wish to monetize their videos on YouTube must request their channel to be whitelisted by DJ Terrence Miquel. Failure to request whitelisting may result in automatic Content ID claims.

4. YOUTUBE CONTENT ID RESTRICTION (IMPORTANT)

Those who purchase a Professional Musician License can use digital distribution but MUST adhere to the following YouTube Content ID restriction:

  • Warning: Content ID Registration Is Strictly Prohibited for Professional Musicians using distribution services.
  • If you are a Professional Musician who has purchased the license allowing for digital distribution, you are prohibited from registering DJ Terrence Miquel’s beats with YouTube’s Content ID system (via YouTube or any third-party distribution service).
  • If you upload a video to YouTube using DJ Terrence Miquel’s beats and have your video monetized, you must request your YouTube channel to be whitelisted by DJ Terrence Miquel to avoid Content ID claims. If whitelisting is not requested, your video may be flagged for Content ID claims, and the revenue from your video may be redirected to DJ Terrence Miquel.
  • IMPORTANT: Do NOT register any DJ Terrence Miquel beats through Content ID via a distribution service. Failure to comply will result in consequences outlined in these Terms and Conditions, including potential legal action.

5. PRODUCTION CREDIT AND ROYALTIES

  • Production Credit: Credit must be attributed to DJ Terrence Miquel on all releases and posts across all social media platforms. Failure to provide proper attribution may be reported, resulting in the removal of the content and potential further action.
  • PRO Registration: If you are registered with BMI, ASCAP, or another Performance Rights Organization (PRO), you agree to list DJ Terrence Miquel as the producer in your performance royalty reports, as applicable, to ensure proper distribution of performance royalties.
    • For ASCAP registrants: When registering your song with ASCAP, you must list DJ Terrence Miquel as the producer or co-writer of the track. This ensures that DJ Terrence Miquel will collect performance royalties through BMI, in accordance with the reciprocal agreements between BMI and ASCAP.
  • Failure to properly attribute credit or report to your PRO may result in legal action.

6. UNAUTHORIZED USE

Unauthorized use of the beats, including commercial use of tagged beats and unauthorized reselling, constitutes a direct violation of copyright law and infringes upon the copyrights owned by DJ Terrence Miquel.

  • Consequences for Unauthorized Use: Failure to comply with the licensing terms will result in immediate legal action and potential claims for financial compensation. Any violation may lead to account suspension, removal of content, or additional legal penalties.

7. LEGAL RIGHTS AND ENFORCEMENT

DJ Terrence Miquel reserves the right to take legal action or seek financial compensation for any breach of this copyright policy to the fullest extent permitted by law.

8. ACKNOWLEDGMENT AND AGREEMENT

By purchasing any beats from DJ Terrence Miquel, you acknowledge that you have read, understood, and agree to abide by these terms and conditions. This acknowledgment and agreement constitute a legally binding contract between you (the purchaser) and DJ Terrence Miquel.

9. LIMITATION OF LIABILITY

DJ Terrence Miquel shall not be held liable for any damages, losses, or claims arising from the use or misuse of the beats, whether authorized or unauthorized, including but not limited to legal claims, platform account penalties, or financial losses incurred by the purchaser or any third party. By purchasing or using these beats, you agree to these terms and accept all responsibility for compliance with copyright laws and licensing conditions.

10. REFUND POLICY

All sales are final. Due to the digital nature of the product, no refunds or exchanges will be provided once the files have been downloaded.

11. UPDATES TO TERMS

DJ Terrence Miquel reserves the right to update or amend these terms and conditions at any time. Continued use of the beats following any updates constitutes agreement to the revised terms.

12. GOVERNING LAW

These terms and conditions shall be governed by and construed in accordance with the laws of the State of Ohio, United States, specifically within Butler County. Any disputes arising under these terms shall be resolved exclusively in the courts located in Hamilton, Ohio.
